Dangote Refinery Raises $2.5 Billion in Africa’s Largest Disclosed Private Equity Placement

Dangote Petroleum Refinery and Petrochemicals (DPRP) has raised US$2.5 billion in a landmark private equity placement that was 3.7 times oversubscribed, in what the company described as Africa’s largest publicly disclosed primary equity private placement by value.

The transaction marks the refinery’s first equity capital raise involving external investors beyond its legacy shareholder base, a milestone in its long-term funding strategy and a significant development for African capital markets.

Proceeds from the fundraising will finance the continued expansion of the refinery and petrochemical complex, strengthen the company’s capital structure and enhance its financial flexibility to support future growth initiatives.

The offering attracted a broad range of investors, including international and African institutional investors, sovereign-related investment vehicles, development finance institutions and long-standing strategic partners. Notable participants included Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank), alongside a mix of institutional and individual investors.

President and Chief Executive of Dangote Industries Limited and Chairman of DPRP, Aliko Dangote, said the transaction broadens and institutionalises the refinery’s shareholder base while providing additional capital to complement internally generated cash flows and existing financing as the company pursues its expansion agenda.

“This further demonstrates our profound commitment to developing domestic refining and petrochemical capacity—reducing Africa’s reliance on imported refined products and strengthening the continent’s energy security,” Dangote said.

Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, David Bird, attributed the strong investor demand to confidence in the company’s operational performance, execution capability and leadership.

“The exceptional demand we saw is a testament to our operational excellence, execution capacity, and investor confidence in DPRP’s leadership,” Bird said.

The successful capital raise positions the refinery to accelerate its long-term growth strategy while expanding world-scale refining and petrochemical capacity. It also reinforces investor confidence in the company’s outlook and strengthens its role in advancing Africa’s energy security by reducing the continent’s dependence on imported refined petroleum products.

The company also acknowledged the contribution of its professional advisers in successfully executing the transaction.
